These Terms and Conditions ("Terms") govern your access to and use of the website at burrardpharma.com (the "Site"), the Know-How Portal, and all services provided by Burrard Pharmaceuticals Enterprises ("Burrard Pharma," "we," "us," or "our"). By accessing or using our Site or services, you agree to be bound by these Terms. If you do not agree, do not use our Site or services.

1. Definitions

• "Services" means all services offered by Burrard Pharma, including but not limited to technology transfer, CDMO (Contract Development and Manufacturing Organization) services, drug formulation development, regulatory services, clinical trials management, analytical services, distribution, and access to the Know-How Portal.
• "Know-How Portal" means our secure digital platform for accessing and delivering master formulas, manufacturing know-how, stability data, CTD/eCTD templates, and related pharmaceutical documentation.
• "Technology Transfer Package" means the documentation, data, protocols, and know-how delivered to a client as part of a purchased technology transfer engagement.
• "Client" or "you" means any individual or entity accessing or using our Site or Services.

2. Eligibility

Our Services are intended for pharmaceutical companies, biotech companies, generic manufacturers, research institutions, and industry professionals. By using our Site, you represent that you are at least 18 years of age, have the legal capacity to enter into binding agreements, and (if acting on behalf of a company) are authorized to bind that company to these Terms.

3. Services and Ordering

3.1 Technology Transfer Packages

We offer technology transfer packages tailored to your needs, from single-product packages to multi-product portfolios. Each package includes manufacturing know-how documentation, regulatory templates, and expert consultation hours. Contact us for current pricing and package details.

3.2 Ordering Process

Orders may be placed through our Site, via email at info@burrardpharma.com, or by contacting our team at +1-778-279-1292. An order is confirmed upon receipt of payment or execution of a mutually agreed-upon contract or purchase order.

3.3 Delivery

Technology transfer documentation is delivered within 2–21 business days depending on product complexity and package tier, via our secure digital portal. Delivery timelines are estimates and not guaranteed. We will notify you of any significant delays.

3.4 Custom CDMO and Consulting Services

Custom CDMO, consulting, regulatory, and clinical trial services are quoted on a project-by-project basis. Separate agreements, including statements of work (SOW), will be executed for these engagements.

4. Payment Terms

• Payments for online purchases are processed securely through Stripe. We accept major credit cards, debit cards, and PayPal.
• For tiered technology transfer packages and custom engagements, payment by wire transfer is also available.
• Payment is due in full prior to delivery unless otherwise agreed in writing.
• All fees are non-refundable once documentation has been delivered, except as described in Section 5 (Refund Policy).
• Late payments may incur interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

5. Refund Policy

• Before delivery: Full refund if cancellation is requested before documentation delivery has begun.
• After delivery: No refunds are available once technology transfer documentation has been delivered, as the nature of the deliverable (intellectual property and know-how) means the value has been transferred.
• Defective deliverables: If delivered documentation is materially incomplete or defective, we will correct the deliverable at no additional cost within 30 days of notification.
• Disputes: All refund disputes must be submitted in writing to info@burrardpharma.com within 14 days of delivery.

6. Intellectual Property

6.1 Our IP

All content on our Site, including text, graphics, logos, images, designs, software, and trademarks (including the "bp" logo and "Burrard Pharmaceuticals" name), are owned by or licensed to Burrard Pharma and protected by Canadian and international intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

6.2 Technology Transfer Documentation

Upon full payment, you receive a non-exclusive, non-transferable license to use the delivered technology transfer documentation for the purposes of manufacturing and commercializing the specified pharmaceutical product(s) in your designated markets. You may not:

• Resell, sublicense, or distribute the documentation to third parties without prior written consent.
• Use the documentation for products other than those specified in your order.
• Remove or alter proprietary notices or branding on delivered materials.

6.3 Client IP

Any proprietary information you provide to us remains your property. We will not use your confidential information for any purpose other than fulfilling our obligations to you.

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary and confidential information disclosed during the course of business. This obligation survives termination of any agreement for a period of five (5) years. Confidential information does not include information that is publicly available, independently developed, or rightfully obtained from a third party without confidentiality obligations.

8. Disclaimer of Warranties

Our Site and Services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to:

• Merchantability or fitness for a particular purpose
• Accuracy, completeness, or reliability of information on the Site
• Uninterrupted or error-free operation of the Site
• Regulatory approval in any specific jurisdiction (technology transfer documentation provides a foundation, but regulatory outcomes depend on many factors outside our control)

The AI-powered live chat on our Site provides general information only and should not be relied upon as professional pharmaceutical, regulatory, or legal advice.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Burrard Pharma and its directors, officers, employees, advisors, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our Site or Services, including but not limited to loss of profits, data, business opportunities, or goodwill, even if we have been advised of the possibility of such damages.

Our total liability for any claim arising under these Terms shall not exceed the amount paid by you to Burrard Pharma in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Burrard Pharma and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or related to your use of our Site or Services, your breach of these Terms, or your violation of any applicable law or third-party rights.

11. Acceptable Use

You agree not to:

• Use the Site for any unlawful purpose or in violation of any applicable law
• Attempt to gain unauthorized access to any part of the Site, Know-How Portal, or related systems
• Interfere with or disrupt the Site or servers
• Scrape, crawl, or use automated tools to extract data from the Site without written permission
• Upload malicious code or content
• Misrepresent your identity or affiliation

12. Third-Party Services

Our Site integrates third-party services including Stripe (payment processing), Google Analytics (site analytics), Anthropic/Claude and xAI/Grok (AI chat), and social media platforms. Your use of these third-party services is subject to their respective terms of service and privacy policies. Burrard Pharma is not responsible for the actions or policies of third-party providers.

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Vancouver, British Columbia, Canada.

14. Dispute Resolution

Before initiating any formal legal proceeding, both parties agree to attempt resolution through good-faith negotiation for a period of thirty (30) days. If negotiations fail, disputes shall be resolved through binding arbitration administered in Vancouver, BC, in accordance with the rules of the British Columbia International Commercial Arbitration Centre (BCICAC), unless the parties agree otherwise in writing.

15. Force Majeure

Neither party shall be liable for delays or failures in performance caused by events beyond their reasonable control, including natural disasters, pandemics, government actions, war, strikes, or disruptions to telecommunications or internet infrastructure.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any separate agreements executed for specific services, constitute the entire agreement between you and Burrard Pharma regarding the subject matter herein and supersede all prior agreements and understandings.

18. Amendments

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of the Site or Services after changes constitutes acceptance.
